Live Assist 24x7 provides 24/7 human-powered live chat support for eCommerce businesses, including but not limited to:

• Responding to customer inquiries
• Assisting with order tracking
• Providing product information


Add-Ons and Premium Tiers:

Additional services, such as website appointment setting and managed chat services, are available for an extra fee. Premium tiers include custom integrations with client systems and detailed data reporting. Service levels (e.g., response times, agent qualifications) are detailed in your service agreement or order form.


Client Responsibilities:

Clients must provide necessary access to their website, CRM, or other systems to enable integration and service delivery.

3. Account Registration & Use

Accuracy: Clients must provide accurate and complete information when signing up for our services.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Suspension/Termination: We reserve the right to suspend or terminate accounts for violations of these Terms, such as providing false information or engaging in prohibited activities.

4. Payment & Subscription

Billing: Services are billed on a subscription basis (monthly or annually, as chosen by the client). Payments are processed via secure third-party providers using credit card or ACH. Invoices are issued on the subscription start date and due immediately.

Price Changes: We may adjust pricing with thirty (30) days' notice.

Refunds: No refunds are provided for partial months or prepaid subscriptions.

Late Payments: Failure to pay within seven (7) days may result in service suspension; after fifteen (15) days, services may be terminated.

5. Acceptable Use Policy

You agree to:

Use our services only for lawful purposes.

Avoid misuse, including but not limited to:

• Spamming
• Harassment
• Transmitting offensive content
• Fraudulent activity
• Attempting to hack, disrupt, or reverse-engineer our platform.

Violations may result in immediate account suspension or termination.

6. Service Availability & Modifications

We aim to provide uninterrupted service but may experience downtime for maintenance, upgrades, or unforeseen issues. We reserve the right to modify, suspend, or discontinue services with or without notice and are not liable for any resulting losses.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available." While we strive for accurate and helpful chat responses, we do not guarantee that all information will be error-free, complete, or suitable for every need. Clients acknowledge that human error may occur, and Live Assist 24x7 is not liable for such errors or service interruptions.

8. Limitation of Liability

To the fullest extent permitted by law:

Our total liability for claims related to these Terms or our services is limited to the amount you paid us in the six (6) months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages (e.g., loss of profits, data, or business opportunities).

9. Termination & Cancellation

Client Cancellation: You may cancel your subscription with thirty (30) days' written notice via your account dashboard or by contacting support. No refunds are issued for prepaid subscriptions or partial months.

Our Rights: We may suspend or terminate services for violations of these Terms (e.g., non-payment) with immediate effect.

Post-Termination: Upon termination, you must pay any outstanding fees, and we will delete your data per our retention policy.

10. Compliance and Data Protection

We comply with applicable data protection laws, such as the California Consumer Privacy Act (CCPA). As a data processor, we process personal data only per your instructions and legal requirements. Clients are responsible for ensuring their use of our services meets all relevant legal and regulatory standards (e.g., HIPAA for healthcare clients).

11. Intellectual Property

Our Ownership: Live Assist 24x7 retains all intellectual property rights in our platform, software, and general-use custom solutions.

Your Ownership: You retain ownership of your data and custom reports created specifically for you.

License: You grant us a non-exclusive, royalty-free license to use your data solely to provide our services.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Florida, United States. Disputes will first be addressed through good-faith negotiation. If unresolved, disputes will proceed to binding arbitration in Orlando, FL, per the American Arbitration Association’s rules.
